Terms and Conditions – Website and Web Shop Services
1. Definitions
In these terms, the following definitions apply:
- Codeline Agency: contractor
- Customer: a natural person or legal entity that enters into an agreement
- Services: designing, building, delivering and maintaining websites and web shops
- Agreement: any arrangement between Codeline Agency and the customer
- Subscription: a service with an annual term for hosting, maintenance and support
2. Applicability
These general terms and conditions apply to all quotes, agreements and services of Codeline Agency, unless otherwise agreed in writing.
3. Services
3.1 Website and Web Shop Development
- Development according to agreed specifications
- Two rounds of revisions included, unless otherwise agreed
- Additional revisions are invoiced separately
- Delivery takes place after payment in full, unless otherwise agreed
3.2 Content
Texts, images and product information are supplied by the customer. The customer is responsible for the accuracy and rights of these.
4. Ownership and Right of Use
After payment in full, the customer receives a right of use to the website or web shop. Source code, systems and development tools remain the property of Codeline Agency, unless otherwise agreed in writing.
5. Hosting
- Hosting is included with active subscriptions
- In the event of security risks or payment arrears, Codeline Agency may temporarily take the website offline
6. Subscriptions and Term
- Subscriptions have a term of 12 months
- Automatic renewal for 12 months
- Cancellation at least 1 month before the end date
- Unused hours expire and are not transferable
7. Payment
- Invoices must be paid within 30 days
- In the event of late payment, €100 in administration costs may be charged
- In the event of continued non-payment, services may be suspended
8. Liability
- Codeline Agency is not liable for indirect damages
- Liability is limited to the invoice amount of the relevant project or subscription
- Customer is responsible for the content and use of the website
9. Security
Codeline Agency implements reasonable security measures but is not liable for damage caused by negligence on the part of the customer.
10. Termination and Transfer
Upon termination, the website can be transferred at a fixed rate. Development files are not included by default.
11. Changes
Codeline Agency reserves the right to amend these terms. Changes will be communicated at least 30 days in advance.
12. Governing Law
These terms are governed by Dutch law.
